The Office of the Registrar of Companies (ORC) has commenced proceedings to remove 453 companies from Ghana’s Companies Register, while an additional 323 companies have already been struck off and dissolved for failing to comply with statutory requirements.

In a notice issued on Wednesday, November 4, 2026, the ORC disclosed that the regulatory exercise affects a total of 776 companies under the Companies Act, 2019 (Act 992).

The exercise forms part of efforts by the Registrar of Companies to improve corporate governance, enforce business registration regulations and ensure that Ghana’s Companies Register contains accurate and up-to-date information.

ORC Begins Strike-Off Proceedings Against 453 Companies

According to the notice, the 453 companies are currently facing removal proceedings under Section 289(3) of the Companies Act, 2019 (Act 992).

Their names were published in Volume 48 of the ORC Companies Bulletin on October 15, 2026, as part of the official notification process.

The Registrar explained that the affected businesses will be removed from the Companies Register three months after the publication of the notice unless valid reasons are submitted to prevent their removal.

The companies and other interested parties have therefore been given an opportunity to address any outstanding compliance issues before the strike-off process is completed.

323 Companies Struck Off and Dissolved

In a separate development, the ORC confirmed that 323 companies have already been removed from Ghana’s Companies Register following the expiration of the legally required notice period.

The affected businesses were initially notified of the intention to strike them off through an earlier publication in Volume 40 of the Companies Bulletin.

However, the companies failed to provide sufficient reasons to prevent their removal within the stipulated statutory period.

Consequently, the Registrar proceeded with the strike-off exercise, and their dissolution was officially published in Volume 49 of the Companies Bulletin, dated October 15, 2026.

ORC Strengthens Business Registration Compliance in Ghana

The Office of the Registrar of Companies said the exercise is intended to strengthen compliance with Ghana’s company registration laws and improve the reliability of the national business register.

Maintaining an accurate Companies Register is considered important for effective corporate regulation, business transparency and the administration of company records.

The ORC has consequently urged affected companies, creditors, shareholders and other interested parties to take appropriate action to regularise their corporate status where necessary.

Those requiring clarification or assistance have also been encouraged to contact the Office of the Registrar of Companies for further guidance.

The latest development highlights the importance of meeting statutory filing obligations and maintaining compliance with Ghana’s company registration and corporate governance requirements to avoid administrative dissolution.
